It's a showy courtroom drama involving big money and bigger egos, but at its core, the landmark case of shareholders suing the Walt Disney Co. board of directors centers on a basic tenet of corporate law: How much protection should boards have when they make bad financial decisions?
Delaware Chancery Judge William Chandler III has not yet issued his verdict, but already the case has changed the way boards do business.
"Whether it goes in Disney's favor or not is secondary," says Samuel Skinner, a Chicago lawyer and former U.S. transportation secretary who serves on eight corporate boards, including Midwest Air Group and Navigant Consulting Inc. "It's had a chilling effect on everybody."
