LONDON--(BUSINESS WIRE)--April 22, 2003

On 22 April 2003 Goldman Sachs International, acting on behalf of Kingfisher plc, filed a proposed public buyout offer followed by compulsory buyout offer (the Offer) with the Conseil des marches financiers (the CMF) for the shares issued by Castorama Dubois Investissements SCA (Castorama) pursuant to the provisions of articles 5-6-3, 5-7-1 and 5-7-3 of the General Regulations of the CMF, at a price of euro 67 per outstanding Castorama share. Simultaneously, a draft offer document has been filed with the Commission des operations de bourse (the COB).

Kingfisher plc owns directly and indirectly 158,766,512 Castorama shares representing 99.45 % of the share capital of Castorama and 99.65 % of its voting rights.
